中国恒大集团（下称“恒大”）及其子公司愿就近期涉境外债权人相关事宜作以下声明：

集团正会同相关顾问机构，以积极的态度与境外债权人持续进行沟通与对话。当前，集团已向境外债权人明确表态，董事会、风险化解委员会及集团上下正不遗余力地评估经营情况、稳定生产运营、保障资金周转，集各方之力共同制定一个全面、细致、有效的债务重组计划，以保障各方合法权利。相关工作推进情况已于2021年12月至2022年1月期间，由集团通过公告形式陆续予以披露。

期间，集团与相关各方进行了深入探讨，在推动探索风险化解工作实施路径方面取得了一定进展。本集团也意识到，由于集团规模庞大、业务繁多、利益相关方众多，面临的情况将日趋复杂，这需要与各方进一步研讨和推演各种可能性与实施路径，全面评估和衡量各种潜在方案，为开展下一步更深入的沟通夯实基础。

集团董事会及风险化解委员会以一贯负责任的态度，恳请各境外债权人给予我方更多时间，支持我方充分考虑各类不确定性和风险，为形成一个对各方利益都有保障的债务风险化解方案而共同努力。

集团期待与各境外债权人的进一步对话与沟通，呼吁各境外债权人共同确保各利益相关方权利不受到极大损害，不采取任何激进的法律行动，对当前来之不易的稳定局面形成冲击。

Evergrande Group's Statement in Relation to Its OffshoreIndebtedness

ChinaEvergrande Group (“Evergrande”) and itssubsidiaries (together, the “Group”) would like to make the following statement on recent mattersconcerning its offshore creditors:

TheGroup and its advisors have been proactive in communicating with a wide rangeof offshore creditors. The message that has been clearly communicated tooffshore creditors is that the Board of Directors, the Risk ManagementCommittee and the Group are working expeditiously to evaluate the Group’s conditions, stabilize its operations and ensure sufficient workingcapital, with a view to formulating a comprehensive, detailed and effectiverestructuring plan that protects the interests of all stakeholders. The progressof some work streams has been disclosed by the Group through announcementsbetween December 2021 to January 2022.

Duringthis period, the Group have had in-depth discussions and made progress inexploring feasible solutions to manage its risks. Naturally in a situation ofthis size and complexity, and given the number of stakeholders involved, theGroup understands that further discussions and careful evaluations of thedifferent plans, potential paths and outcomes are required in order to lay a solidfoundation for further substantive dialogue with offshore creditors.

TheBoard of Directors of the Group and the Risk Management Committee haveconsistently held a responsible attitude and sincerely request that offshorecreditors give the Group time and support to fully evaluate the situation andwork collaboratively with the Group to formulate a restructuring plan thatbenefits all stakeholders.

TheGroup looks forward to further communication with various offshore creditors,and requests that offshore creditors exhibit patience by refraining from takingaggressive legal actions that could impact the stability of the Group and leadto a value destructive outcome.
